The appeals before the Supreme Court arose from a common question of law regarding the applicability of the Interest on Delayed Payment to Small Scale and Ancillary Industrial Undertakings Act, 1993 ('the Act') to supply contracts concluded before the Act's commencement on 23 September 1992. The appellants, M/s Shanti Conductors (P) Ltd. and others, were small-scale industrial undertakings that had supplied aluminium electrical conductors to the respondent Assam State Electricity Board pursuant to purchase orders dated 31 March 1992 and 13 May 1992. The supplies were completed by 4 October 1993, and the Board made full payment of the principal amount on 5 March 1994. The Board appealed, and the Gauhati High Court after a reference to a Full Bench, ultimately allowed the appeal on 20 November 2012, relying on the Supreme Court's decision in Purbanchal Cables & Conductors Pvt. Ltd. v. Assam State Electricity Board, (2012) 7 SCC 462, which held that the Act applies only to sale agreements entered into after the date of commencement of the Act. The Full Bench had earlier on 5 March 2002 held that the Act applies to pre-commencement contracts and that a suit for interest alone is maintainable, but the Division Bench felt bound by the later Supreme Court ruling. It was also submitted that the Act does not create a new right but only provides a higher rate of interest, and thus could apply to existing contracts.
