Case Note & Summary

The case involves a dispute between the successors of Dr. Luis dos Santos Alvares (plaintiffs/respondents) and Dr. Bento de Souza Egypsy (defendants/appellants) over a building in Margao, Goa. The plaintiffs owned a building where a hospital (Casa de Saude) was run. On 29-3-1968, an agreement styled as a 'Deed of Leave and License' was executed between the parties, allowing the defendants to use portions of the building for a medical practice. The plaintiffs filed a suit for eviction, claiming the agreement was a license and had expired. The defendants contended it was a lease protected under the Goa Decree No.43525. The trial court held it was a lease, and the first appeal was dismissed. In this Letters Patent Appeal, the core issue was whether the agreement must be construed as a lease under Article 3 of the Decree. The court analyzed the terms of the agreement, noting that it granted exclusive possession for a term of 10 years with renewal options, and a fixed monthly consideration. Applying the principle that substance prevails over form, the court held that the agreement satisfied the definition of a lease under Article 3, as it involved the grant of use of property for a certain time and price. The court rejected the argument that the label 'leave and license' was conclusive. It upheld the concurrent findings of the courts below, dismissing the appeal. The decision emphasizes that the intention of the parties and the actual rights conferred determine the nature of the transaction, not the nomenclature used.

Headnote

A) Property Law - Lease vs License - Construction of Deed - Article 3 of Decree No.43525 dated 7-3-1961 - The question was whether an agreement styled as a Deed of Leave and License was necessarily a lease under the Goa Decree. The court held that the intention of the parties and the substance of the transaction must be examined, and if the agreement confers exclusive possession and is for a term, it may be construed as a lease regardless of the label. (Paras 1-10)

B) Interpretation of Statutes - Goa Decree No.43525 - Article 3 - Definition of Lease - Article 3 defines lease as a contract by which one person grants to another the use of a thing for a certain time and for a certain price. The court held that the agreement in question satisfied these elements, and therefore it was a lease. (Paras 5-8)

C) Evidence Act - Burden of Proof - The appellants failed to discharge the burden of proving that the agreement was a license and not a lease. The court upheld the trial court's finding that the deed was a lease. (Paras 9-10)

Nature of Litigation

Civil appeal against concurrent findings that an agreement styled as a Deed of Leave and License was a lease under Goa law.

Remedy Sought

Appellants sought reversal of the finding that the agreement was a lease, to avoid eviction.

Filing Reason

The appellants challenged the judgment of the lower appellate court which affirmed the trial court's decree of eviction based on the agreement being a lease.

Previous Decisions

Trial court held the agreement was a lease; first appeal dismissed.

Issues

Whether the agreement dated 29-3-1968 styled as a Deed of Leave and License must be construed as a lease under Article 3 of Decree No.43525.

Submissions/Arguments

Appellants argued that the agreement was a license, not a lease, as it was so styled and did not create any interest in the property. Respondents argued that the agreement conferred exclusive possession for a term and consideration, thus satisfying the definition of a lease under Article 3.

Ratio Decidendi

The intention of the parties and the substance of the transaction determine whether an agreement is a lease or a license. Under Article 3 of Decree No.43525, a lease is a contract granting use of a thing for a certain time and price. The agreement in question, despite being styled as a leave and license, granted exclusive possession for a fixed term with renewal options and a fixed monthly payment, thus constituting a lease.

Judgment Excerpts

The question for our consideration in this defendant's Letters Patent Appeal is whether the agreement dated 29 3 1968 between the parties, styled as a Deed of Leave and License had necessarily to be construed as a lease in the light of the provision of Article 3 of the Law of Leases, namely Decree No.43525 dated 7 3 1961(Decree, for short) in force in the State of Goa with effect from 7 3 1961? There is no dispute that the plaintiffs are the owners of a building bearing No.143 situated at Monsignor Ganganelli Road in Margao in which late Dr. Luis dos Santos Alvares(the plaintiffs are his successors) was running a hospital known as Casa de Saude from the year 1926 or thereabout and different surgeons performed operations/surgery at the said Casa de Saude.

Procedural History

The plaintiffs filed a suit for eviction in the trial court, which decreed the suit holding the agreement was a lease. The defendants appealed to the District Court, which dismissed the appeal. The defendants then filed this Letters Patent Appeal before the High Court of Bombay at Goa.
