Case Note & Summary

The petitioners, Prabhudas Virchand Lotia and another, filed a writ petition challenging the actions of the Maharashtra Housing and Area Development Authority (MHADA) and other respondents regarding a leasehold plot in Bandra Kurla Complex. The plot was originally leased to Rang Sharda Pratisthan, a public trust, for constructing a drama theatre. The trust entered into a development agreement with the first petitioner in 1989, and later the benefit was transferred to the second petitioner. The second petitioner constructed a drama theatre, a commercial wing, and a hotel. In 2002, MHADA issued notices seeking documents and later a show cause notice alleging breach of lease conditions. The petitioners contended that the construction was in accordance with approved plans and that the lease permitted transfer of the structure for raising finance. The court examined the lease deed clauses, particularly clause 2(i) which prohibited assignment without permission but allowed transfer of the structure for raising finance. The court noted that MHADA had approved the building plans, indicating consent. The court held that there was no breach of lease conditions and that the show cause notice was vague. The court quashed the impugned notices and directed MHADA to regularize the construction if any minor deviations existed. The petition was allowed with no order as to costs.

Headnote

A) Lease Law - Transfer of Leasehold Interest - Clause 2(i) of Lease Deed - Prohibition on assignment without permission - Exception for transfer of structure for raising finance - Held that the development agreement and subsequent transfer of benefit to the second petitioner did not violate the lease conditions as the transfer pertained to the structure and was for raising finance, and the lessor had approved plans (Paras 2-3).

B) Public Trust - Lease by Trust - Bombay Public Trusts Act, 1950 - Trust's power to lease and develop property - Held that the trust, being a public trust, could enter into development agreements and transfer benefits for construction, and the lessor's approval of plans indicated consent (Paras 2-3).

C) Administrative Law - Show Cause Notice - Natural Justice - Requirement of proper opportunity - Held that the show cause notice dated 2nd July 2002 was vague and did not specify the alleged breach, and the subsequent order was passed without giving adequate opportunity to the petitioners (Paras 3-4).

Nature of Litigation

Writ petition challenging the actions of MHADA and other respondents regarding alleged breach of lease conditions.

Remedy Sought

Quashing of notices and orders issued by MHADA and direction to regularize construction.

Filing Reason

MHADA issued notices alleging breach of lease conditions and sought to take action against the petitioners.

Issues

Whether the transfer of leasehold interest and construction of commercial wing and hotel by the petitioners constituted a breach of the lease deed conditions. Whether the respondents were entitled to take action for alleged violations without proper notice and opportunity.

Submissions/Arguments

Petitioners argued that the lease deed permitted transfer of the structure for raising finance, and MHADA had approved the building plans, indicating consent. Respondents argued that the transfer of leasehold interest without permission was a breach of lease conditions.

Ratio Decidendi

The transfer of leasehold interest and construction of commercial wing and hotel did not violate the lease conditions as the lease deed permitted transfer of the structure for raising finance, and the lessor's approval of plans indicated consent. The show cause notice was vague and did not specify the alleged breach.

Judgment Excerpts

Under Clause 2(c) of the Lease Deed, the Trust was required to use the land for the bona fide purposes of construction, maintenance, conduct and administration of the Drama Theatre and purposes incidental thereto or for commercial purposes permitted under any law for the time being in force. In clause 2(i) there was a prohibition on the assignment and transfer of the land or any interest thereunder of the benefit of the agreement without the previous written permission of the First Respondent. However, it was stipulated that this did not affect the right of the Trust to transfer or to deal with the structure or any part thereof in any way that it desired for the purpose of raising finance or otherwise.

Procedural History

The petitioners filed a writ petition in the High Court of Judicature at Bombay challenging the notices and orders issued by MHADA. The court heard the matter and delivered judgment on May 4, 2005.
