Case Note & Summary
The dispute arose from a Company Appeal filed by Phoenix ARC Pvt. Ltd. against an order dated 19.03.2024, passed by the NCLT, Kochi Bench, which allowed a Resolution Professional's application to reclassify claims and revise voting shares of the Committee of Creditors. The Appellant sought to challenge this order, leading to an interim order that kept the operation of the impugned order in abeyance. During the proceedings, the parties entered into a settlement, as reflected in IA No. 796/2026, which was supported by a joint compromise application and minutes from a Committee of Creditors meeting. The Appellant requested the closure of the appeal based on this settlement, with the condition that the proceedings could be revived if the settlement terms were not adhered to. The Respondent Counsel did not object to the facts presented in the settlement agreement. Consequently, the Appellate Tribunal closed the appeal in accordance with the settlement, allowing for revival of proceedings if necessary. The decision was influenced by a prior writ petition and subsequent appeal in the Kerala High Court, which also acknowledged the settlement. The appeal was thus closed with the liberty reserved for the parties to take further action if required.
