Case Note & Summary

The appellants (original plaintiffs) filed a suit in 1987 seeking declaration that an agreement dated 16th August 1984 for conducting a hotel business named 'Hotel Park View' had expired by efflux of time on 15th August 1987, and that the defendant's continued possession was illegal and amounted to trespass. The plaintiffs also sought mandatory injunction for handing over possession of the business along with furniture, fixtures, etc., and claimed liquidated damages at Rs.500 per day from 16.8.1987. The learned Single Judge dismissed the suit, holding that the agreement created a tenancy and the plaintiffs were not entitled to possession without following due process under rent laws. The Division Bench of the Bombay High Court allowed the appeal, set aside the Single Judge's judgment, and decreed the suit. The court held that the conducting agreement was not a lease and did not create any tenancy rights. The agreement had expired by efflux of time, and the defendant's continued possession was unauthorised. The court directed the defendant to hand over possession of the hotel business and all associated assets to the plaintiffs and pay liquidated damages at Rs.500 per day from 16.8.1987 till the date of handing over. The court also ordered the defendant to pay costs of the suit and appeal.

Nature of Litigation

Civil suit for declaration, possession, and damages arising from a conducting agreement for a hotel business.

Remedy Sought

Appellants (original plaintiffs) sought declaration that the conducting agreement dated 16th August 1984 expired by efflux of time, mandatory injunction for handing over possession of the hotel business and assets, and liquidated damages at Rs.500 per day.

Filing Reason

The defendant did not hand over the hotel business after expiry of the conducting agreement on 15.08.1987.

Previous Decisions

The learned Single Judge dismissed the suit on 12 December 2008, holding that the agreement created a tenancy.

Issues

Whether the conducting agreement dated 16th August 1984 created any tenancy rights in favour of the defendant. Whether the plaintiff was entitled to possession and damages after expiry of the agreement.

Submissions/Arguments

Appellants argued that the agreement was a conducting agreement, not a lease, and expired by efflux of time, entitling them to possession and damages. Respondent argued that the agreement created a tenancy and the suit for possession without following rent laws was not maintainable.

Ratio Decidendi

A conducting agreement for running a hotel business does not create any tenancy rights. Upon expiry of the agreement by efflux of time, the continued possession of the defendant is unauthorised and amounts to trespass. The plaintiff is entitled to possession and liquidated damages as per the agreement.

Judgment Excerpts

By this Appeal, the Appellants challenge the judgment and decree dated 12 December 2008 passed by a learned Single Judge of this Court in Suit No.3275/1987. According to the Plaintiff, the business that was run by the Plaintiff was given on a conducting basis to the Defendant for the period which was to end on 15.08.1987. Even after expiry of that period, the Defendant did not hand over the business back.

Procedural History

The original plaintiffs filed Suit No.3275/1987 in the Bombay High Court. The learned Single Judge dismissed the suit on 12 December 2008. The plaintiffs filed Appeal No.145 of 2009 against that judgment. The Division Bench heard the appeal and delivered judgment on 12 January 2012, allowing the appeal and decreeing the suit.
