Case Note & Summary
The High Court of Judicature at Bombay heard four appeals arising from a common order dated 26-03-2003 passed by a Single Judge in two suits concerning control over shares of Bombay Oxygen Corporation Limited (defendant no.2). The plaintiffs, including Shyam Madanmohan Ruia, held major shareholding in defendant no.2 and entered into a Share Purchase Agreement dated 23-06-1997 with defendant no.1, a German company, to sell 45001 shares and allow purchase of 30,000 public shares, aggregating 75,001 shares representing 50%+1 share. Prior to this, defendant no.1 had a Share Purchase and Cooperation Agreement with defendant no.3, an industrial gas competitor, containing a non-compete clause, which defendants alleged was breached by the arrangement with plaintiffs. The defendants lodged protests and filed suits. In Suit No. 2499/99, defendant no.3 filed Notice of Motion No. 3230/2000 seeking leave to enforce a consent arbitral award dated 21-09-2000. In Suit No. 509/2001, plaintiffs filed Notice of Motion No. 392/2001 for an injunction restraining defendants from transferring or exercising rights over the 75,001 shares. Plaintiffs also filed Notice of Motion No. 534/2002 in Suit No. 509/2001 for appointment of an administrator and receiver over defendant no.2's assets. Defendant no.3 filed Notice of Motion No. 1231/2002 in Suit No. 2499/99 to set aside an earlier injunction order dated 29-02-2000 passed by Justice D.K. Deshmukh. The Single Judge disposed of all these motions by the common order impugned in the appeals. The High Court's consideration involved the legality of the interim measures, the enforceability of the arbitral award, and the protection of corporate governance pending the suits. The judgment reserved on 30-06-2010 and pronounced on 01-09-2010 would determine the fate of these interlocutory applications.
Headnote
A) Civil Procedure - Enforcement of Consent Arbitral Award - Interim Relief - Code of Civil Procedure, 1908 - Notice of Motion No. 3230/2000 sought leave to enforce a consent arbitral award dated 21-09-2000 - The appeal challenged the Single Judge's decision on this relief, raising the question whether such leave could be granted pending suit - The dispute arose from alleged breach of share purchase and cooperation agreements (Paras 3, 7-8). B) Company Law - Interim Injunction Against Share Transfer - Restraint on Exercise of Rights - Companies Act, 1956 - Notice of Motion No. 392/2001 sought to restrain defendants from transferring or exercising rights over 75,001 shares of Bombay Oxygen Corporation Ltd. without plaintiffs' consent - The appeal impugned the Single Judge's order on this temporary injunction concerning controlling shares (Paras 3, 4, 8). C) Civil Procedure - Appointment of Receiver and Administrator - Order 40 Rule 1 CPC - Notice of Motion No. 534/2002 prayed for appointment of an administrator/board of directors and a receiver over the air separation plant of defendant no.2 - The appeal challenged the Single Judge's disposition of this relief seeking protection of corporate assets (Paras 3, 8-9). D) Civil Procedure - Setting Aside Injunction Order - Variation of Prior Order - Code of Civil Procedure, 1908 - Notice of Motion No. 1231/2002 sought to set aside the order dated 29-02-2000 passed by Justice D.K. Deshmukh in Notice of Motion No. 1804/99 - The appeal challenged the Single Judge's refusal to modify that earlier injunction (Paras 3, 9-10).
