The petitioners, K.V. Satyamurthy and S.M. Builders, were the owners and developers of a piece of land in Juhu, Mumbai. They constructed and sold 36 bungalows to various purchasers under Agreements for Sale. The agreements contained a clause that the builders would form a cooperative housing society or a private limited company and transfer the property to it. The purchasers formed a society named Golden Beach Co-operative Housing Society Ltd. (Respondent No. 1) and got it registered under the Maharashtra Cooperative Societies Act, 1960. The society applied to the Competent Authority (Respondent No. 2) for a deemed conveyance under Section 11 of the Maharashtra Ownership Flats (Regulation of the Promotion of Construction, Sale, Management and Transfer) Act, 1963 (MOFA), as the developers had failed to execute the conveyance. The Competent Authority allowed the application and directed that a deemed conveyance be granted in favor of the society. The developers challenged this order by way of a writ petition before the Bombay High Court. The developers argued that the society was not formed in accordance with the agreement, that the application was barred by limitation, and that the land was not fully developed. The High Court examined the provisions of MOFA and the agreements. It held that the obligation of the developer to transfer the land to the society is absolute and arises once the society is formed and registered. The Court noted that the society was validly registered under the Maharashtra Cooperative Societies Act, and the developer cannot challenge its formation in these proceedings. Regarding limitation, the Court held that the Limitation Act does not apply to applications under Section 11 of MOFA, and the Competent Authority has the power to grant deemed conveyance even after a long delay. The Court also found that the developer had not completed the development as per the agreement, but that did not absolve them of the obligation to transfer the land. The present Writ Petition impugns an order dated 10th August 2018 (“impugned order”), passed by Respondent No. 2 allowing an application for deemed conveyance filed by Respondent No. 1. The Petitioners are the owners and developers of the said land on which the Petitioners have constructed and sold 36 ‘bungalows’ under various Agreements for Sale. The Agreements for Sale inter alia provide as follows viz. “AND WHEREAS the Builders have agreed to register a Pvt. Ltd. Co. or a Co-operative Housing Society, or Association of Apartment owners and transfer the property in the name of the Registered Co. or a Co-operative Housing Society, or Association of Apartment owners and allot the bungalows and the land appurtenant thereto to the intending acquirer of bungalows/Apartments to be constructed by the S.M. Builders as aforesaid in accordance with the layout of scheme in Annexure ‘A’ as aforesaid inspection whereof has been taken by the Acquirer prior to his signing this agreement and on the Acquirer contributing towards the cost of the construction of the bungalows and of the land on which the said bungalow will be situated and on the Acquirer agreeing to pay proportionate costs for and common facilities as set out in Annexure ‘B’ hereto.”
